This license continues even if you stop using our Services (for example, for a business listing you have added to Manifest Marketplace).

User Content Representations and Warranties

You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit. You also represent and warrant that neither your User Content, nor your use and provision of your User Content to be made available through the Services, nor any use of your User Content by Manifest on or through the Services will infringe, misappropriate, or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

Prohibited Use of Intellectual Property

You must not:

• Copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or distribute any of the material from our Service without our prior written consent.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text without Manifest's express written consent.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Service.

The Manifest name, the terms, the Manifest logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Manifest or its affiliates or licensors. You must not use such marks without the prior written permission of Manifest. All other names, logos, product and service names, designs, and slogans on this Service are the trademarks of their respective owners.

When you submit, upload, post, or display content on or through Manifest Solutions LLC-FZ ("Manifest"), you understand that:

• Content Responsibility: You are solely responsible for the content and any consequences that arise from posting it on Manifest's platforms. Manifest does not take responsibility for user-generated content nor does it necessarily endorse any opinions expressed by users.
• Content Accuracy: You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the content you submit.

By submitting content to Manifest, you grant Manifest a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to:

• Use, Reproduce, Modify: To use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content throughout the world in any media.
• Distribute and Communicate: To distribute and communicate the content to the public, and to make it available to partners and any other third parties in conjunction with the provision of services offered by Manifest.

Manifest reserves the right to:

• Remove or Refuse: Remove or refuse to post any User Content for any or no reason in our sole discretion.
• Take Action: Take any action with respect to any User Content that we deem necessary or appropriate, including if we believe that such User Content violates the Terms and Conditions, infringes any intellectual property right or other right, threatens the personal safety of users of the Manifest or the public, or could create liability for Manifest.
• Disclose Identity: Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights, or their right to privacy.

You understand that by providing content on Manifest's platform, you waive any claims to the "moral rights" in such content (like the right to be identified as the author or to object to derogatory treatment) to the extent permitted by applicable law.

While Manifest may provide backup of user content, it is your responsibility to maintain independent backup copies of any content you post on the platform.

Manifest may, but has no obligation to, monitor, review, or edit User Content. In all cases, Manifest reserves the right to remove or disable access to any User Content for any or no reason, including User Content that, in Manifest’s sole discretion, violates these Terms. Manifest may take these actions without prior notification to you.

You use and rely on any content or materials posted via the Services at your own risk. Under no circumstances will Manifest be liable in any way for any content or materials of any third parties (including users), including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content.

By submitting User Content to Manifest, you acknowledge and agree to these terms, confirming your responsibility and the rights granted to Manifest are clear, and your content complies with these enhanced guidelines.

Manifest reserves the right, without notice and in our sole discretion, to terminate your license to use the Service, and to block or prevent your future access to and use of the Service:

• Breach of Terms: If we determine that you have violated these Terms and Conditions or other agreements which may be associated with your use of the Service.
• Misuse of Service: If you misuse the System, including unauthorized use, attempts to bypass security measures, or use the System to gain unauthorized access to any other system.
• Legal Compliance: If we are required to do so by law (for example, where the provision of our Services to you is, or becomes, unlawful).
• Security and Technical Issues: If technical or security issues or problems arise that, in our opinion, may create liability for Manifest, other users, or third parties.

You may terminate your account and discontinue your use of the Service at any time by following the account closure procedures on our Service or contacting customer support.

Upon termination, all rights granted to you under these Terms and Conditions will also terminate; and you must cease all use of the Service and delete all copies of associated software from your devices.

• Account Information: Manifest may retain any information or data associated with your account for a period after termination as mandated by applicable law or internal policy for audit, legal, operational, or other reasons.
• Outstanding Obligations: Termination does not affect any rights and obligations incurred prior to the effective date of termination, such as payment obligations.
• No Liability: Manifest will not be liable to you or any third party for compensation, indemnity, or damages of any sort as a result of terminating these Terms and Conditions in accordance with their terms, and termination of your access to the Service will be without prejudice to any other right or remedy Manifest may have, now or in the future.

Following termination, Manifest has the right to delete or retain your User Content in accordance with our [Data Retention Policy] or as required by applicable law. Manifest is under no obligation to return or provide copies of your User Content.

The provisions that by their nature should survive the termination of these Terms and Conditions shall survive such termination, including ownership provisions, warranty disclaimers, and limitations of liability.

Manifest reserves the right to modify its termination policy at any time, for any reason, at our sole discretion, and without liability.

You agree to indemnify, defend, and hold harmless Manifest Solutions LLC-FZ ("Manifest"), its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the Service from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms and Conditions by you or any actions related to your account (including negligent or wrongful conduct) by you or any other person accessing the Service using your account.

This indemnification obligation includes, without limitation, liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs, and attorneys' fees, of every kind and nature. Manifest shall notify you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit, or proceeding.

In the event Manifest seeks indemnification from you under this provision, Manifest will:

• Notify you: Promptly provide you with written notice of any claim, suit, or action for which indemnification is being sought.
• Cooperate: Provide reasonable cooperation, at your expense, in the defense and settlement of such claim, suit, or action.
• Allow you to control: Allow you to control the defense and all related settlement negotiations provided that you may not settle any claim unless the settlement unconditionally releases Manifest of all liability and does not affect Manifest's business or Service.

You also agree to indemnify Manifest for any intellectual property infringement claim or action arising as a result of any content you provide or any transaction you conduct through the Service. Manifest reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Manifest’s defense of such claim.

Your indemnification obligations will survive the termination or expiration of these Terms and Conditions and your use of the Service.

All information and services provided by Manifest Solutions LLC-FZ are on an "as is," "as available" basis without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Manifest expressly disclaims all responsibility and liability for the accuracy, content, completeness, legality, reliability, operability, or availability of information or material displayed in the Manifest results or posted on the website by Manifest or third parties.

Manifest does not warrant that the service will be uninterrupted or error-free, nor does Manifest make any warranty as to the results that may be obtained from the use of the service, or as to the accuracy, reliability, or currency of any information content, service, or merchandise provided through the service.

References on the Manifest website to any names, marks, products, or services of third parties or hypertext links to third-party sites or information are provided solely as a convenience to you and do not in any way constitute or imply Manifest's endorsement, sponsorship, or recommendation of the third party, information, product, or service. Manifest is not responsible for the content of any third-party websites and does not make any representations regarding the content or accuracy of material on such websites.

Manifest Solutions LLC-FZ shall not be liable for any damages, including but not limited to direct, indirect, incidental, punitive, and consequential damages, arising out of the use of or inability to use the service, any information provided on the service, or any transaction conducted through the service.

The information provided by Manifest is for general guidance on matters of interest only. Even if Manifest takes every precaution to ensure that the content of the Service is both current and accurate, errors can occur. Plus, given the changing nature of laws, rules, and regulations, there may be delays, omissions, or inaccuracies in the information contained on the Service. In no event shall Manifest Solutions LLC-FZ, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• (i) your access to or use of or inability to access or use the Service;
• (ii) any conduct or content of any third party on the Service;
• (iii) any content obtained from the Service; and
• (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

Notwithstanding any other provision of these Terms and Conditions, in no event shall Manifest Solutions LLC-FZ, its officers, directors, employees, or agents be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any aspect of your use of the Service, whether based on warranty, contract, tort, or any other legal theory, and whether or not Manifest Solutions LLC-FZ is advised of the possibility of such damages. As some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the Service, or with these Terms and Conditions, your sole and exclusive remedy is to discontinue use of the Service.

You acknowledge and agree that the disclaimers and the limitations of liability set forth in these Terms and Conditions reflect a reasonable and fair allocation of risk between you and Manifest, and that these limitations are an essential basis to Manifest's ability to make the Service available to you on an economically feasible basis.

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. This Limitation of Liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

These Terms and Conditions shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You agree to comply with all local laws and regulations regarding online conduct and acceptable content. Users are responsible for compliance with all applicable laws, including but not limited to export and import regulations of other countries.

Any legal action or proceeding relating to your access to, or use of, the Service or these Terms shall be instituted only in the courts of Dubai, United Arab Emirates. You and Manifest Solutions LLC-FZ agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.

We make no representation that information on this Service is appropriate or available for use outside the United Arab Emirates. Those who choose to access this Service from outside the United Arab Emirates do so on their own initiative and are responsible for compliance with local laws.

In the event of any dispute arising out of or in connection with these Terms and Conditions, including any question regarding its existence, validity, or termination, the parties shall first seek settlement of that dispute by mediation, administered by the Dubai International Arbitration Centre (DIAC) under the DIAC mediation rules, which mediation shall take place in Dubai, United Arab Emirates.

If the dispute is not settled by mediation within thirty (30) days of the commencement of the mediation, or such further period as the parties shall agree in writing, the dispute shall be referred to and finally resolved by arbitration under the DIAC, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be Dubai, United Arab Emirates. The language to be used in the arbitral proceedings shall be English.

In the spirit of goodwill and where possible, Manifest Solutions LLC-FZ encourages users to first contact us directly to seek a resolution for any dispute, concern, or issue related to their use of the Service. Manifest aims to resolve such matters internally, efficiently, and amicably.

If the matter cannot be resolved through direct negotiation, the parties agree to endeavor first to settle the dispute by mediation administered by the Dubai International Arbitration Centre (DIAC) under its then-current Mediation Rules. The mediation shall take place in Dubai, United Arab Emirates, and be conducted in the English language.

In the event that the dispute is not resolved through mediation within thirty (30) days from the date of initiation of the mediation or such further period as the parties may agree in writing, the dispute shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC), which rules are deemed to be incorporated by reference into this clause.

• The number of arbitrators shall be one.
• The arbitration proceedings shall be held in Dubai, United Arab Emirates.
• The language of the arbitration shall be English.
• The arbitrator's decision shall be final and binding upon both parties.

Disputes regarding intellectual property rights, unlawful use of the Service, breaches of terms related to confidentiality, or violations of proprietary rights may be brought by Manifest Solutions LLC-FZ to courts of competent jurisdiction without the need for prior mediation or arbitration.

Each party shall bear its own costs in the mediation and arbitration proceedings, and the parties shall equally share the fees of the mediation and arbitration institutions. However, the prevailing party in any arbitration shall be entitled to an award of reasonable attorney's fees and costs.

The award rendered by the arbitrator shall be final and shall be enforced in any court of competent jurisdiction upon the application to such court by either party.

Notwithstanding the above, Manifest Solutions LLC-FZ may seek urgent interim relief from courts of appropriate jurisdiction (such as injunctive relief) if this is considered necessary to prevent significant loss or damage.

The parties agree that the initiation and continuation of dispute resolution processes shall not prevent the parties from pursuing simultaneous remedies under applicable law or these Terms and Conditions.

If any provision of these Terms and Conditions is held by a court of competent jurisdiction to be unlawful, void, or unenforceable for any reason, such provision shall be modified to the extent necessary to make it enforceable, while maintaining its intent as closely as possible, and the remaining provisions of these Terms and Conditions will remain in full force and effect.

Should any provision of these Terms be deemed unenforceable or invalid under any applicable law or be so held by any applicable court decision, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Manifest Solutions LLC-FZ will amend or replace such provisions with ones that are valid and enforceable and which achieve, to the extent possible, the original objectives and intent as reflected in the original provisions.

The severance of any individual provision of these Terms and Conditions will not affect the validity and enforceability of any remaining provisions. Manifest Solutions LLC-FZ’s decision not to enforce any specific provision of these Terms and Conditions does not constitute a waiver of the right to enforce such provision in the future.

If any provision is found to be invalid, illegal, or unenforceable, a court or arbitrator shall have the authority to adjust the provision to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent or, if that is not possible, to substitute a provision that is valid, legal, and enforceable which achieves, to the maximum extent possible, our original goals and intent as reflected in the original provision.

These Terms and Conditions, together with Manifest Solutions LLC-FZ’s Privacy Policy, any amendments, and any additional agreements you may enter into with Manifest Solutions LLC-FZ in connection with the Service, shall constitute the entire agreement between you and Manifest Solutions LLC-FZ concerning the Service.

This Agreement supersedes all prior understandings, agreements, or representations, whether written or oral, between you and Manifest Solutions LLC-FZ, relating to the subject matter hereof. No verbal statement or prior written material not duly incorporated into the Agreement shall be of any force and effect.

Users acknowledge that the continued use of the Service following any changes to these Terms and Conditions and any other documents incorporated herein by reference constitutes acceptance of such changes.

You acknowledge and agree that you have not relied on any representation, undertaking, or promise given by or implied from anything said or written in negotiations between us prior to entering into this Agreement except as expressly stated in this Agreement.

The use of the Service is subject to the most current version of the Terms and Conditions, which supersedes all previous agreements and understandings, whether electronic, oral, or written, between you and Manifest Solutions LLC-FZ regarding the Service.

By using the Service, you represent that you are authorized to enter into this Agreement and you agree to be bound by the terms and conditions of this Agreement.
